Terms and Conditions

Welcome to Webspide NXT Technologies Pvt Ltd. By accessing or using our website, purchasing our products, or engaging our services, you (Client) agree to be bound by the following Terms and Conditions. If you do not agree with any part of these terms, please refrain from using our services.

1. Scope of Services

Webspide NXT Technologies Pvt Ltd offers digital products and professional services, including software development, mobile app development, website design, UI/UX design, and digital marketing, White-label products, and Blockchain solutions.

All services are delivered based on mutually agreed-upon scopes, proposals, or task breakdown documents. Any modifications to the scope after commencement may require additional charges or time.

2. User Responsibilities

As a user or client, you agree to:

• Provide accurate and complete information necessary for service delivery.
• Respond promptly to feedback and approval requests during the development lifecycle.
• Do not misuse or reverse-engineer our products or services.
• Comply with all applicable laws and regulations when using our services or platforms.

3. Intellectual Property

Unless otherwise stated in a signed agreement:

• All code, designs, graphics, and content created by Webspide NXT Technologies Pvt Ltd remain the intellectual property of the company until full payment is received.
• After full payment, ownership rights to the final deliverables may be transferred to the client, excluding third-party assets, libraries, or tools used under license.
• We reserve the right to display completed projects or portions thereof in our portfolio or marketing materials unless a mutual NDA is in place.

4. Payments & Invoices

• All payments must be made as per the agreed payment terms (e.g., milestone-based, percentage-based).
• Late payments may result in the suspension of work or services.
• GST and applicable taxes will be levied on all invoices as per Indian taxation law.
• Payment for digital products is due upfront and non-refundable unless specified.

5. Refund Policy

Our detailed Refund Policy is available here. In general, all sales are final once digital products are delivered or services have commenced. Refunds will only be considered under the terms outlined in the Refund & Cancellation Policy.

6. Cancellations

Cancellations must be submitted in writing. Refer to our Cancellation Policy here for eligibility and applicable deductions.

7. Support & Maintenance

• Post-delivery support is available as per the agreed support period or plan.
• Any additional feature requests or modifications beyond the approved scope will be treated as a change request and charged accordingly.
• We are not responsible for issues arising from unauthorized changes made to the code or environment post-delivery.

8. Limitation of Liability

Webspide NXT Technologies Pvt Ltd is not liable for:

• Any direct or indirect losses or damages arising from delays, interruptions, data loss, or business disruptions.
• Rejections from third-party platforms, such as app stores or ad networks.
• Breach of functionality due to third-party service/API changes or hosting/server issues.

Our total liability is limited to the amount paid by the client for the specific project or service under dispute.

9. Confidentiality

We respect client confidentiality and will not disclose any confidential or proprietary information without written consent. Similarly, clients agree not to share our internal processes, code samples, or documentation with third parties without our permission.

10. Termination

We reserve the right to terminate a service agreement if:

• The client violates any terms mentioned herein.
• The client fails to make timely payments.
• The client engages in unethical or illegal activities during the engagement.

Upon termination, any unpaid dues will be invoiced, and partial work done up to that point may be delivered, depending on the payment received.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of India, and any disputes shall fall under the jurisdiction of the courts in Madurai, Tamil Nadu.

12. Policy Updates

Webspide NXT Technologies Pvt Ltd reserves the right to update or modify these Terms at any time without prior notice. It is your responsibility to review them periodically. Continued use of our services after updates constitutes your acceptance of the revised terms.
