END USER LICENSE AGREEMENT (EULA) FOR WEBSPIDE SOFTWARE PRODUCT(S)/SCRIPTS

NOTICE TO END USER: This End User License Agreement ("EULA") is a legal contract between you (either an individual or a single entity) and Webspide Technologies Private Limited ("Webspide"). This EULA covers your use of Webspide’s software products and related components, including scripts, media, printed materials, and electronic documentation (collectively referred to as the "Software Product(s)").

By installing, copying, downloading, accessing, or using the Software Product(s), you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software Product(s).

1. Grant of Non-Exclusive License

• (A) Software Product License: Webspide grants you a non-exclusive, non-transferable license to install and use the Software Product(s) on a single or multiple domains/websites, depending on the license package purchased.
• (B) Backup Copy: You may make copies of the Software Product solely for backup and archival purposes. All copies must retain the original copyright and proprietary notices.
• (C) Modifications: You may not modify, reverse-engineer, decompile, or create derivative works of the Software Product(s) unless expressly permitted by applicable law.

2. Intellectual Property Rights

All intellectual property rights in the Software Product(s) remain with Webspide. You may not remove, modify, or obscure any proprietary notices. You may not resell, rent, or sublicense the Software Product(s).

3. Restrictions on Transfer

You may not lease, lend, sell, or transfer the Software Product or any portion thereof to any third party without prior written consent from Webspide.

4. Prohibited Actions

You agree not to:

• Use the Software for deceptive or unethical practices
• Modify or redistribute the source code unless explicitly permitted
• Represent Webspide or its products as your own

5. Support and Customization

• Webspide may offer limited support services as per the purchased plan.
• Customization requests fall under paid service.
• Webspide is not obligated to provide free updates, data policies, or legal documents.
• Apple and Google are not responsible for any app-related support.

6. Termination

Webspide may terminate this EULA if you breach any term. Upon termination, you must destroy all copies of the Software Product(s).

7. Refund Policy

No refunds will be issued for:

• Lack of user understanding
• Installation services or custom labor
• Full source code purchases (all sales final) – evaluate our demo before purchasing

8. Miscellaneous Terms

• We reserve the right to reference your website for promotional use.
• Delivery time may extend up to 3 business days due to verification.
• Paid installation may take up to 2 business days.
• Fraud prevention may require legal documentation.

9. No Warranties

The Software Product(s) are provided "as is" without warranties of any kind. Webspide disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

In no event shall Webspide be liable for indirect, incidental, or consequential damages, including but not limited to, loss of profits or business interruption. Liability is limited to the amount paid for the Software Product(s).

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of India. Any disputes shall be resolved exclusively in the courts located in India.

12. No Contact Clause

Neither you nor your representatives may:

• Initiate or facilitate communications with Webspide employees regarding potential business transactions
• Request confidential information from Webspide employees beyond what has been officially disclosed
• Solicit Webspide employees for employment, contract work, or referrals without prior written consent
• Hire or attempt to hire Webspide employees, either directly or indirectly, without Webspide's express approval

Any violation of these terms will be considered a breach of this agreement and may result in legal action.

By accepting and installing or using the Software Product(s), you agree to the above terms and conditions.
